Terms of Service

1. Agreement to Terms

By accessing or using Tide (the “Service”), operated by Chisel Industries, Inc. (“Chisel,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to the business. If you do not agree to these Terms, do not use the Service.

2. Accounts

You must provide accurate and complete information when you create an account and keep it current. Tide uses passwordless sign-in: access links are sent to the email address or phone number on your account, and you are responsible for keeping those channels secure and for all activity that occurs under your account. Notify us promptly at the address below if you believe your account has been accessed without authorization.

3. Use of the Service

You agree to use the Service only for lawful purposes, in accordance with these Terms, and in a way that does not interfere with other customers or with the Service itself. You may not attempt to gain unauthorized access to any part of the Service, reverse engineer it, or use it to send unlawful, deceptive, or unsolicited communications.

4. Fees

There is no subscription fee, seat fee, per-technician or per-pool fee, setup fee, or minimum term for the Service. Chisel earns a payment processing fee, expressed as a percentage of each payment (plus any fixed per-transaction amount we disclose), on payments your customers make through the Service. The current processing rates are disclosed in your account before you accept your first payment, and we will give you reasonable advance notice of any change. Processing fees are deducted from payments as they are processed. You are responsible for any taxes that apply to your use of the Service.

If you choose not to process payments through the Service, we may, on reasonable notice, limit access to features that depend on payment processing or offer you alternative commercial terms.

5. Payments and Third-Party Services

Payment processing is provided by third-party payment processors and is subject to their terms, including identity verification and acceptable-use requirements. Card and bank payments, payouts, refunds, chargebacks, and disputes are governed by those terms and by the applicable card network and banking rules. You are responsible for the accuracy of invoices you issue and for resolving disputes with your customers. The Service also connects to third-party services you choose to enable, such as accounting software; your use of those services is governed by their terms.

6. Your Data

You retain ownership of the customer, property, financial, and operational data you enter into or generate through the Service (“Your Data”). You grant Chisel a license to host, process, and display Your Data as needed to provide, secure, support, and improve the Service. You are responsible for having the rights and consents required to submit Your Data. You may export Your Data at any time, and we will provide a reasonable means to do so on termination. Our handling of personal information is described in our Privacy Policy.

7. AI Agents and Automated Actions

The Service includes AI features and agents that can draft communications, prepare invoices and work orders, plan routes, and take other actions on your behalf. Automated actions run only under settings you control, and actions we designate as requiring approval will not complete until you or a person you authorize approves them. AI output can be incomplete or wrong; you are responsible for reviewing it and for the decisions and communications made through your account. We do not guarantee any particular business result from AI features.

8. Messaging Compliance

You are responsible for obtaining and honoring any consent required to contact your customers by text message, email, or phone, and for complying with applicable laws, including the Telephone Consumer Protection Act and CAN-SPAM. The Service provides tools to help you manage consent, honor opt-outs, and respect quiet hours, but the legal responsibility for your communications remains yours.

9. Early Access

Portions of the Service may be offered as an early access or beta release. Those features may change, be interrupted, or be withdrawn, and may not perform as expected. We welcome feedback and may use it to improve the Service without obligation to you.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Chisel Industries, Inc. and its licensors. Our trademarks, including Tide and Chisel, may not be used without our prior written consent. Nothing in these Terms transfers ownership of Your Data to us.

11. Termination

You may stop using the Service at any time; there is no contract to buy out. We may suspend or terminate your access, with notice where practical, for conduct that violates these Terms, creates risk for other customers or for us, or where required by our payment processors or by law. On termination, outstanding processing fees remain payable and you may export Your Data as described above.

12. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Chisel Industries, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the processing fees you paid to us in the twelve months before the event giving rise to the claim.

14. Changes to These Terms

We may modify these Terms from time to time. We will provide notice of material changes by posting the new Terms on this page and updating the date above, and, for changes to fees, by notifying you in the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
